Chapter1 General Principles
YUCHAI CHARTER is a guideline document on Yuchai Culture shared and complied with by worldwide Yuchai employees and is a fundamental basis for Yuchai employees’ thoughts and actions.

Yuchai Culture System will be developed by a systematic conclusion and extraction of Yuchai’s outstanding cultural genes and a benchmarking of international first-class enterprises, to make worldwide Yuchai employees have integrated values and corporately propel Yuchai’s healthy and rapid sustainable developments.
1.3 Scope of Application
YUCHAI CHARTER is applicable to the employees of Yuchai Group and its subsidiaries and affiliates, and the members of the Board of Directors of Yuchai Group. Every Yuchai employee shall have a careful reading on YUCHAI CHARTER, appreciate the implications in the YUCHAI CHARTER and adhere to implement the YUCHAI CHARTER. The leaders at all levels of Yuchai Group shall take the lead in undertaking the responsibilities on propagating and implementing YUCHAI CHARTER.
1.4 Revision Management
YUCHAI CHARTER, which is managed by the Party Committee of Yuchai Group, might be amended on a three-year basis in principle. The Party Committee Office of Yuchai Group is responsible for collecting opinions in Yuchai Group in a written form, conducting amendment demonstrations and drafting amendment proposals for the review and approval from the Standing Committee of the Party Committee of Yuchai Group.

Chapter3 Supplementary Principles
3.1 Violation Reporting
Every Yuchai employee is entitled and obligated to report any circumstance or action that violates, or appears to violate, the YUCHAI CHARTER, which should be based on objective facts and confirmed violation behaviors. Yuchai will not take any action against you as a result of raising an ethical issue in good faith. Also, Yuchai does not tolerate any reprisal by any individual against an employee for raising a concern or making a report in good faith. 3.2 Penalties for violations
The Party Committee Office of Yuchai Group is responsible for collecting those circumstances and behaviors that violate the YUCHAI CHARTER, and raise proposals on the penalties for violations based on the guiding instructions from the Human Resources Department and Legal Affairs Department of Yuchai Group and on relevant laws and regulations, which shall be executed with the approval from the Standing Committee of the Party Committee of Yuchai Group.
